Terms of Service

1. Agreement to These Terms
These Terms of Service (“Terms”) are a binding agreement between you and Brave Little Spice Company LLC, a Vermont limited liability company doing business as Sapline (“Sapline,” “we,” “us,” or “our”). They govern your access to and use of the Sapline web application, our marketing website, and related services (together, the “Service”).
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.
2. Eligibility
The Service is intended for use by maple and sap-product operations and the people who run them. You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed to children.
3. Accounts and Organizations
To use most features you must create an account and an organization. You agree to provide accurate information and to keep it current. You are responsible for all activity under your account and for keeping your login credentials secure. Authentication is provided through our identity provider; you are responsible for the security of the email and credentials you use.
An organization may have multiple members with different roles (owner, admin, or member). The organization and its owner are responsible for the actions of their members and for managing member access. Notify us promptly of any unauthorized use of your account.
4. Subscriptions, Billing, and Cancellation
Sapline offers a free plan and paid subscription plans. Current plan features and prices are shown on our pricing page and may change over time.
- Billing. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees and taxes until you cancel.
- Renewal. Paid subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
- Price changes. We may change our prices. We will give you advance notice, and the new price will apply to your next billing period after the notice.
- Taxes. Fees are exclusive of taxes. You are responsible for any applicable taxes.
- Cancellation. You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods except where required by law.
- Downgrades and non-payment. If you downgrade or your payment fails, features and usage limits tied to your plan may become unavailable. We may suspend or limit paid features for non-payment after reasonable notice.
5. Your Data and Content
You own your data.As between you and Sapline, you retain all rights to the operation data and other content you submit to the Service (“Your Content”), including production records, maps, and documents. You can export or download your data from the Service where an export or download option is provided, and you can request a copy of your operation data by contacting us.
License to operate the Service. You grant us a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to provide, maintain, secure, and improve the Service and to perform our obligations to you.
Service improvement. We may use de-identified and aggregated data (which does not identify you or your organization) to develop and improve the Service, including our sap-flow prediction models, as described in our Privacy Policy.
Information about other people. If you enter personal information about third parties (for example buyers, crew, or landowners), you represent that you have the right to provide it and to have us process it on your behalf, and you are responsible for meeting any notice or consent obligations to those individuals.
Your responsibilities. You are responsible for the accuracy, quality, and legality of Your Content and for your use of it. Do not upload content you do not have the right to use, or that infringes the rights of others.
6. Acceptable Use
You agree not to:
- Use the Service in violation of any law or regulation, or to infringe the rights of others.
- Access or use another organization’s data without authorization, or attempt to circumvent the Service’s access controls or organization isolation.
- Probe, scan, or test the vulnerability of the Service, or interfere with or disrupt its integrity or performance, except through a responsible-disclosure process we authorize.
- Reverse engineer, copy, resell, or create derivative works of the Service, except as permitted by law.
- Use the Service to send spam, malware, or unlawful, harmful, or deceptive content.
- Use automated means to access the Service in a way that burdens our infrastructure, outside of any documented API and rate limits.
We may investigate and take action, including suspension or termination, for violations of this section.
7. Land Link Marketplace
Land Link is an optional feature that helps connect landowners and producers who express interest in leasing sugarbush. Sapline only facilitates introductions. We are not a party to, and do not guarantee, any lease, agreement, or transaction between users. We do not verify the identity, statements, or suitability of any user, and we make no representation about any property, its condition, or its legal status. Any agreement you enter with another user is solely between you and that user, and you are responsible for your own due diligence, negotiations, and compliance with applicable law.
8. Third-Party Services
The Service integrates third-party services, including weather data, mapping and geocoding, document text extraction, payment processing, email delivery, and hosting. These services are provided by others and may have their own terms. We are not responsible for third-party services, and their availability or accuracy is outside our control. Your use of a linked third-party service is governed by that provider’s terms.
9. Intellectual Property
The Service, including its software, design, text, and trademarks (but excluding Your Content), is owned by Sapline or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service without obligation to you.
10. Estimates, Forecasts, and Compliance Tools
The Service provides forecasts, calculators, and compliance-related tools to assist your operation. These are informational aids, not guarantees or professional advice:
- Sap-flow predictions and forecasts are estimates based on models and available data. Actual results will vary. Do not rely on them as the sole basis for operational or financial decisions.
- Calculators and estimators (for example yield, dilution, and cost tools) produce approximate results for planning purposes only.
- Compliance and food-safety features, including generated policies, checklists, and inspection materials, are tools to help you organize your records. They are not legal advice and do not guarantee compliance with any law, regulation, certification, or inspection requirement. You are responsible for meeting your own regulatory obligations and should consult qualified professionals where appropriate.
11. Service Availability and Changes
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and we may release features labeled beta, preview, or experimental that are provided as-is and may change or be removed. We will use reasonable efforts to give notice of material changes that adversely affect your use.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY FORECAST, ESTIMATE, OR OUTPUT WILL BE ACCURATE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPLINE AND ITS OWNERS, MEMBERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold harmless Sapline and its owners and members from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of the rights of any third party, including individuals whose information you enter into the Service.
15. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if providing the Service to you becomes commercially impractical, with notice where reasonable.
On termination, your right to use the Service ends. We will provide a reasonable opportunity to retrieve Your Content, including on request, and will then delete personal information as described in our Privacy Policy. Sections that by their nature should survive termination (including data ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Vermont, without regard to its conflict-of-laws rules. You and Sapline agree to the exclusive jurisdiction of the state and federal courts located in Vermont for any dispute arising out of or relating to these Terms or the Service, and you consent to venue there.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice through the Service or by email. Your continued use of the Service after an update means you accept the revised Terms.
18. Miscellaneous
These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and Sapline regarding the Service. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. We may provide notices to you through the Service or by email.
